Terms of Service for Our Daily Lifestyles and Second Act Simplified

These Terms of Service ("Terms") are a legally binding agreement between you and Our Daily Lifestyles LLC ("Our Daily Lifestyles," "Second Act Simplified," "we," "us," or "our"). They govern your access to and use of www.ourdailylifestyles.com and its related pages (the "Site"); the Second Act Simplified podcast, including its audio, video, transcripts, show notes, clips, and social-media content; our newsletters, memberships, downloads, tools, products, and services; and any other content or service that links to these Terms. Together, these are the "Services."

By accessing or using the Services, creating an account, submitting content, or making a purchase, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create an account, make a purchase, submit content, apply to be a podcast guest, or otherwise use any part of the Services that requires an agreement.

The general informational content on the Site and podcast may be viewed or heard by people under 18, but the Services are intended primarily for adults and are not directed to children under 13. A parent or legal guardian is responsible for a minor's permitted use of the Services.

If you access the Services outside the United States, you are responsible for complying with applicable local law.

2. Changes to the Services and These Terms

We may modify, suspend, discontinue, or restrict any part of the Services at any time. We do not guarantee that any content, episode, feature, product, or service will remain available.

We may update these Terms by posting a revised version and changing the "Last Updated" date. Changes apply prospectively from the stated effective date. If a change is material, we may provide additional notice when required by law. Your continued use after revised Terms take effect means you accept them.

3. Limited Permission to Use the Services

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for your personal, non-commercial use. This permission does not transfer ownership of any content or intellectual-property rights to you.

4. Acceptable Use

You may not:

  • violate any law, regulation, court order, contract, or third-party right;

  • copy, reproduce, republish, distribute, sell, license, modify, translate, publicly perform, publicly display, or create derivative works from our content except as permitted by law or with our written permission;

  • remove copyright, trademark, attribution, watermark, or proprietary notices;

  • use our content, name, likeness, voice, branding, or trademarks in a way that suggests sponsorship, endorsement, partnership, or affiliation without written permission;

  • collect, scrape, crawl, index, monitor, extract, or harvest content or data through automated means, except standard search-engine indexing that follows our published instructions;

  • use our content or data to train, fine-tune, evaluate, ground, or develop an artificial-intelligence or machine-learning model without prior written permission;

  • bypass access controls, paywalls, rate limits, robots instructions, or security measures;

  • interfere with the operation, availability, integrity, or security of the Services;

  • upload malware or other harmful code;

  • impersonate another person or misrepresent your identity or affiliation;

  • submit unlawful, defamatory, harassing, threatening, deceptive, infringing, obscene, or privacy-invasive material;

  • use the Services for spam, unauthorized advertising, or solicitations; or

  • help another person do any of the above.

We may investigate suspected violations and preserve or disclose information when reasonably necessary to comply with law, enforce these Terms, or protect rights and safety.

5. Intellectual Property

The Services and their content, including articles, podcast episodes, audio, video, photographs, graphics, logos, designs, downloads, templates, text, compilations, and branding, are owned by or licensed to Our Daily Lifestyles LLC and are protected by copyright, trademark, and other laws.

Our Daily Lifestyles, Second Act Simplified, associated logos, and other source identifiers may be trademarks or trade dress of Our Daily Lifestyles LLC. No license to use them is granted except as expressly stated in these Terms.

You may share a standard link to publicly available content. You may quote a short excerpt for commentary, criticism, or another use permitted by law if you provide clear attribution and a link to the original. This does not permit reposting an entire article, transcript, episode, download, photograph, or other substantial portion of our work.

6. User Submissions

"User Submissions" include comments, reviews, testimonials, survey responses, questions, messages, photographs, audio, video, guest pitches, biographies, and other material you voluntarily submit through or in connection with the Services.

You retain ownership of your User Submissions. By submitting them, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, format, adapt, publish, display, distribute, and use them as reasonably necessary to operate, improve, and promote the Services and our business. This license continues for material already incorporated into published content or business records, subject to applicable law.

You represent that you own or have all permissions needed for your submission; our permitted use will not infringe another person's intellectual-property, privacy, publicity, contractual, or other rights; factual claims are accurate and not misleading; and the submission complies with these Terms.

Do not send confidential, proprietary, trade-secret, medically sensitive, or legally privileged information through ordinary forms, comments, email, social media, or unsolicited submissions. We do not agree to keep unsolicited ideas or pitches confidential and are not obligated to use, review, compensate, or return them.

We may moderate, edit, decline, or remove User Submissions, but we are not required to monitor all submissions.

7. Second Act Simplified Podcast

7.1 Listening and Viewing

The podcast may be available through our Site and third-party platforms such as Spotify, Apple Podcasts, YouTube, and other podcast, video, or social-media services. Your use of a third-party platform is also governed by that platform's terms and policies.

We may edit, update, correct, remove, monetize, archive, or redistribute podcast content and related materials at our discretion, subject to applicable agreements and law.

7.2 Guests and Interviews

Submitting a guest application or agreeing to a preliminary conversation does not guarantee selection, recording, publication, promotion, or any particular release date.

Before recording or publication, guests may be required to sign a separate guest release or written agreement addressing consent to record and the rights to edit, reproduce, publish, distribute, advertise, and promote the interview and related materials. If these Terms conflict with a signed guest agreement concerning an appearance, the signed guest agreement controls for that appearance.

We may edit an interview for length, clarity, production quality, legal concerns, or content standards. We will not knowingly edit a guest's statements in a way intended to materially misrepresent them.

Guests are responsible for the accuracy of their statements and for avoiding unauthorized disclosure of confidential information, employer information, client information, trade secrets, or material that infringes third-party rights.

7.3 Listener Questions, Messages, and Stories

If you submit a question, story, voice message, photograph, audio, video, or other material for possible use in the podcast or related content, clearly state if you do not want your first name used. Unless we expressly agree otherwise in writing, submission does not guarantee confidentiality, anonymity, a response, or publication.

We may shorten, edit, paraphrase, or combine listener submissions for clarity and length while trying to preserve their intended meaning. Do not submit information about another identifiable person unless you have permission.

7.4 Guest and Third-Party Views

The views expressed by guests, callers, commenters, sponsors, and other third parties are their own. Their appearance does not necessarily mean that Our Daily Lifestyles LLC endorses their statements, products, services, organizations, or conduct.

8. Informational and Professional Disclaimers

Our content is provided for general informational, educational, and entertainment purposes. It reflects personal experiences, opinions, research, and interviews and may not be complete, current, or appropriate for your circumstances.

Nothing in the Services is a substitute for individualized advice from a qualified professional. In particular:

  • health, wellness, nutrition, fitness, menopause, supplement, or mental-health content is not medical advice, diagnosis, or treatment;

  • career, workplace, business, entrepreneurship, or financial content is not legal, tax, investment, accounting, human-resources, or financial advice;

  • relationship, personal-development, spiritual, or lifestyle content is not counseling, therapy, pastoral advice, or crisis care; and

  • product, travel, gardening, food, DIY, and home content involves personal judgment and may carry risks that depend on your circumstances.

Consult an appropriately qualified professional before acting where health, safety, legal rights, employment, finances, or significant personal decisions are involved. In an emergency, contact the appropriate emergency service.

You are responsible for your decisions, actions, and results. We do not guarantee any particular health, career, business, financial, relationship, audience-growth, or other outcome.

9. Reviews, Recommendations, Affiliates, and Sponsors

We may review or recommend products, services, books, businesses, destinations, or other resources. Opinions are our own unless stated otherwise, but experiences and results vary.

Some content may include affiliate links, paid sponsorships, advertisements, gifted products, brand relationships, or other material connections. We may receive compensation or another benefit if you view, click, or purchase through certain links. We will make disclosures where required, but you remain responsible for evaluating a product or service before purchasing it.

Prices, availability, specifications, claims, and third-party offers may change without notice. We do not control and are not responsible for third-party products, services, fulfillment, warranties, claims, or business practices.

10. Accounts, Memberships, and Security

If an account or membership feature is offered, you must provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account to the extent permitted by law.

Membership benefits, features, and content may change. Additional purchase terms presented at checkout or on an offer page are incorporated into these Terms. If those specific terms conflict with these general Terms, the specific purchase terms control for that transaction.

We may suspend or terminate an account for a violation of these Terms, fraud, abuse, chargeback misuse, nonpayment, or conduct that threatens the Services or others.

11. Purchases and Payment

11.1 Prices and Payment

Prices are displayed in U.S. dollars unless stated otherwise. Applicable taxes, shipping, and other charges will be shown before purchase when required. You authorize us and our payment processor to charge the payment method you provide for the total disclosed at checkout.

Payments may be processed by Squarespace Payments, Stripe, Square, or another provider. We generally do not store your complete payment-card information. Your transaction may also be subject to the provider's terms.

We may correct pricing or description errors and cancel or refuse an order before fulfillment. If we cancel an order after payment, we will issue an appropriate refund.

11.2 Physical Products

Physical products may be produced or fulfilled by Printful or another provider. Product appearance may vary slightly from screen images. Estimated production and delivery dates are not guarantees. Shipping delays, carrier disruptions, customs, incorrect addresses, and events outside our reasonable control may affect delivery.

Risk of loss and title pass as provided by applicable law and any checkout terms. You are responsible for providing an accurate delivery address and for customs charges or import duties unless stated otherwise.

11.3 Digital Products and Services

Digital products may be delivered electronically or made available through an account. You receive a limited personal-use license, not ownership or resale rights. You may not share access credentials, distribute copies, resell, upload, or make purchased content publicly available.

Unless a product page, checkout page, or separate refund policy says otherwise, digital products are non-refundable after download, access, or delivery because they cannot be returned. This rule is subject to applicable consumer law and does not limit rights that cannot legally be waived.

11.4 Refunds, Returns, and Chargebacks

Return, refund, cancellation, and exchange terms displayed on the applicable product page, checkout page, order confirmation, or separate refund policy are incorporated into these Terms.

Contact info@ourdailylifestyles.com before initiating a chargeback so we have a reasonable opportunity to address the issue. This does not waive any lawful right to dispute an unauthorized or incorrect charge.

12. Promotions, Giveaways, and Surveys

Contests, sweepstakes, giveaways, promotions, surveys, or similar activities may have separate official rules. If separate rules conflict with these Terms, the separate rules control for that activity. No purchase is necessary where prohibited, and all activities are void where prohibited by law.

13. Third-Party Services and Links

The Services may contain links to, integrations with, or embedded content from third parties. We do not control those services and are not responsible for their content, availability, privacy, security, terms, products, or conduct.

A link, guest appearance, advertisement, sponsorship, or mention does not by itself constitute our endorsement. Your interactions and transactions with third parties are solely between you and them.

14. Copyright Complaints

We respect intellectual-property rights. If you believe material available through the Services infringes your copyright, send a written notice to info@ourdailylifestyles.com with the subject line Copyright Notice and include:

  • identification of the copyrighted work claimed to be infringed;

  • identification and location of the allegedly infringing material;

  • your name and contact information;

  • a statement that you have a good-faith belief the disputed use is not authorized by the owner, its agent, or the law;

  • a statement, under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act for the owner; and

  • your physical or electronic signature.

This contact information does not represent that we have designated or registered a Digital Millennium Copyright Act agent. If we later rely on the DMCA safe-harbor process, we may publish separate designated-agent information and procedures.

15. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. It is incorporated into these Terms by reference. Please review it carefully.

16. Disclaimers of Warranties

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Our Daily Lifestyles LLC and its owners, officers, employees, contractors, contributors, and licensors disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Services will be uninterrupted, secure, error-free, free of harmful components, or that defects will be corrected. We do not warrant the accuracy, completeness, reliability, availability, or usefulness of content or third-party information.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.

17. Limitation of Liability

To the fullest extent permitted by law, Our Daily Lifestyles LLC and its owners, officers, employees, contractors, contributors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, opportunity, goodwill, or data; personal decisions or actions based on content; or damages resulting from third-party services, unauthorized access, or inability to use the Services.

To the fullest extent permitted by law, our total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

  • the amount you paid directly to Our Daily Lifestyles LLC for the specific product or service giving rise to the claim during the six months before the event giving rise to liability; or

  • $100 USD.

These limitations apply regardless of the legal theory and even if we were advised that damages were possible. They do not exclude liability that cannot lawfully be excluded or limited, including liability for our fraud, willful misconduct, or other liability that applicable law makes non-waivable.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Our Daily Lifestyles LLC and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Services, your User Submissions, your violation of these Terms, or your infringement of another person's rights.

We may control the defense of a covered claim and require your reasonable cooperation. You may not settle a claim that imposes liability or obligations on us without our written consent. This section does not require a consumer to indemnify us for our own unlawful conduct and applies only to the extent permitted by applicable law.

19. Suspension and Termination

We may suspend or terminate access to all or part of the Services if you violate these Terms, fail to pay amounts due, create legal or security risk, misuse the Services, or engage in harmful conduct. Where reasonable, we may provide notice, but immediate action may be necessary.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including provisions concerning ownership, licenses for previously published submissions, purchases, disclaimers, limitations of liability, indemnification, disputes, and general terms.

20. Governing Law and Disputes

Before filing a legal claim, you agree to send a written description of the dispute and requested resolution to info@ourdailylifestyles.com. We will attempt in good faith to resolve the dispute informally for 30 days after receiving the notice. This requirement does not prevent either party from seeking urgent injunctive relief or filing in small-claims court, and it does not extend a legal limitations period.

Except where applicable law requires otherwise, these Terms and any dispute arising from them or the Services are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. You and Our Daily Lifestyles LLC consent to the exclusive jurisdiction and venue of the state and federal courts serving Lorain County, Ohio.

Nothing in these Terms waives any consumer-protection right or remedy that cannot legally be waived. We are not requiring arbitration or waiving class-action rights through these Terms.

21. Events Outside Our Control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including natural disasters, severe weather, fire, labor disruption, carrier delays, internet or utility failures, cyberattacks, platform outages, government action, public-health emergencies, or failures of suppliers and service providers.

22. General Terms

These Terms, the Privacy Policy, and any additional terms presented for a specific product, service, promotion, or guest appearance constitute the agreement concerning their subject matter.

If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a reorganization, merger, sale, or transfer of our business or assets.

Headings are for convenience only. The words "including" and "includes" mean "including without limitation." Electronic communications and agreements satisfy legal writing requirements to the extent permitted by law.
